CARRE BLANC is an internationally recognized specialist in the trading of CARRE BLANC brand products. With this in mind, and in consultation with the members of its sales network, the company has created a Canadian merchant site with the aim of presenting the CARRE BLANC collections and thus constituting a new communication tool and aid to consumer choice. Article 1 - Purpose and scope

Please read the following agreement carefully before using this website. It governs your use of the Carré Blanc web site and the services and products offered through this web site (referred to herein as the "web site"). It releases Carré Blanc or any other person from liability or limits their liability and contains other important provisions of which you should be aware. Each time you use the Website, you acknowledge and signify that you have read, understood and agree to the Agreement. If you do not wish to be bound by these Terms of Use, you may not use the Website or use the products and services offered. Each time you use the Web site, the text of this agreement, as you have read it, governs your use. Similarly, when you use the Web Site, you should check the date of this Agreement and check for changes since the last version.

This is a contract between you and Carré Blanc and this agreement governs your use of the website and its content and the services and products offered through the website. Each time you use the web site, you signify your acceptance of the agreement, as well as the acceptance of any person you represent (in the case of this agreement, "person" includes any incorporated or unincorporated entity), without limitation or qualification, to be bound by the terms of this agreement and you represent and warrant that you have the legal authority to agree to the terms of this agreement on behalf of yourself and any persons you represent. If you do not wish to be bound by these terms of use, are not authorized to accept the provisions of this agreement or do not have the legal authority to accept this agreement, you may not use the Web site or use the products and services offered.

The Site is accessible to all users of the Internet network in principle 24 hours a day, 7 days a week, except in the event of interruption, whether scheduled or not, by CARRE BLANC QUEBEC or one of its service providers, for the purposes of its maintenance and/or security or in the event of force majeure as defined by law. CARRE BLANC QUEBEC shall not be held liable for any damage whatsoever resulting from the unavailability of the Site.

For any questions relating to CARRE BLANC products placed online (characteristics, use, etc.), the user may also contact CARRE BLANC QUEBEC by telephone in accordance with the terms and conditions set forth in article 11 hereof. The user is solely responsible for the choice of his orders and the use of CARRE BLANC products.

By placing an order online, the user expressly and unreservedly accepts the entirety of these terms and conditions of sale, to the exclusion of all other conditions. CARRE BLANC QUEBEC also reserves the right to modify the present terms and conditions of sale. In this case, the applicable conditions will be those online on the day the order is placed by the user; the date of the last update appearing at the top of these terms and conditions will prevail. CARRE BLANC QUEBEC cannot be held responsible for the temporary unavailability or inaccessibility of the Site. Users are advised to save and/or print the general terms and conditions in force on the day of their order. A copy will be sent to you by e-mail with your order confirmation. You may not change, add information or amend this agreement in any way. Carré Blanc may, in its sole discretion, change, amend or add to this Agreement in light of your future use of the Website from time to time, for any reason and without any notice or liability to you or any other person, simply by posting a revised version of the Agreement on the Website.

If you violate any provision of this agreement, you will no longer be able to use the website. Carré Blanc may, at any time and for any reason, in its sole discretion, suspend or terminate (in whole or in part) your permission to use the Website and your password without notice. If, for any reason, either you or Carré Blanc terminates this agreement or your permission to use the Website, this agreement shall continue in full force and effect and govern all prior uses of the Website by you and all purchases of products or services made by you from the Website or anything connected with or arising out of any of the foregoing.

All transactions conducted through the Website, including the purchase and sale of all goods and services and the issuance of software licenses, are governed by this Agreement and all applicable Transaction Agreements. By using the Web Site or participating in any transaction through the Web Site, you signify your assent to this Agreement and, if applicable, the Transaction Agreements.

Carré Blanc may make software available for you to download from its website or from any other website, including websites operated by suppliers. This software is protected by copyright and the downloading of this software is governed by the Transaction Agreement and the software license applicable to the software. By downloading the software, you signify your assent to the applicable transaction agreement and software license.

Although Carré Blanc makes every effort to provide accurate information, Carré Blanc assumes no responsibility for any errors or misprints that may appear on the website. Carré Blanc also reserves the right to modify the prices of products offered on the website at any time without notice. Carré Blanc does not guarantee the availability of the products offered on the site, nor does it guarantee shipping times.

Article 2 - Registration on the site

It is not necessary to create an account in order to place an order. Once the user has filled in the information required to create an account and submitted the registration request, he or she will receive confirmation of registration by e-mail.

The website may be used by persons residing in Canada, who have reached the age of majority or legal age within the jurisdiction in which they reside, and who may be governed by legal contracts under applicable law. Carré Blanc makes no representation that materials in the Website are appropriate or available for use in locations other than Canada, and access to the Website from territories where the contents or use of the Website would be illegal is prohibited. Those who choose to use the website do so on their own initiative and are responsible for complying with all applicable local laws.

To access online purchases, you will need to create an account available only through the use of a unique username and password. Keep this information confidential, as you alone will be held responsible in the event of fraudulent use. Do not allow anyone else to use your account, and do not give anyone your password. In addition, the information you provide must be valid. The use of a password in no way restricts access by Carré Blanc and its suppliers to password-protected information. We recommend that you choose a password that will be difficult to guess and that you change it regularly. In addition, you must terminate your session when you leave the website. Notify Carré Blanc immediately if you become aware of any unauthorized use of your user name or password, or if you suspect that your user name or password has been stolen or compromised.

All usernames and passwords remain the property of Carré Blanc and may be cancelled or suspended at any time by Carré Blanc without notice. Carré Blanc is under no obligation to verify the current identity or authority of the user of any username or password. You must respond promptly to all correspondence sent by Carré Blanc, including, but not limited to, e-mail and correspondence concerning complaints or concerns regarding the use of your user name or password or your use of the Website. The security and privacy provided by your password is not complete and may be defeated. Use of your password is at your own risk.

Article 3 - Orders

The user of the Site can place an order for CARRE BLANC products online in the following ways:
- By internet: on www.carreblanc.ca

To place an order, the user selects the product(s) of his/her choice by clicking on "Add to cart". At the end of this step, and after clicking on "View my cart", a summary page corresponding to the order form appears on the screen, allowing the user to make any modifications, then to validate by clicking on "Finalize order". To finalize the order, the user must log in to his/her account, enter the billing address and click on "I choose my delivery address".

The user can then choose the type of delivery: to their billing address, to another address, or free pick-up in store. Once the delivery method has been chosen, the user must click on "Proceed to payment". The user will be able to check the details of his order and its total price, and correct any errors before payment. To finalize the sale with CARRE BLANC QUEBEC, the user must read and expressly accept the general terms and conditions by clicking on "I accept the general terms and conditions of sale". CARRE BLANC QUEBEC will acknowledge receipt of the order as soon as it has been validated, by sending a confirmation e-mail including details of the products ordered, its general terms and conditions of sale in force at the time and the related invoice. The user formally accepts the use of e-mail for order confirmation.

CARRE BLANC product offers are valid while stocks last. Should a product be unavailable after an order has been placed, CARRE BLANC QUEBEC will inform the user as soon as possible. The payment made by the latter for the unavailable product(s) will be refunded as soon as possible and at the latest within fourteen days of payment of the sums paid; no compensation may be claimed from CARRE BLANC QUEBEC.

CARRE BLANC QUEBEC reserves the right to refuse any order placed under conditions that appear abnormal or to block it until the problem is resolved (for example: non-payment of previous orders, etc.). As a reminder, these general terms and conditions of sale only apply to the Canadian site. You can, at any time, access the details of your order, by logging into your account, section: "My orders". Although Carré Blanc makes every effort to provide accurate information, Carré Blanc disclaims any responsibility for any errors or misprints that may appear on the website. Carré Blanc also reserves the right to modify the prices of products offered on the website at any time, without prior notice. Carré Blanc does not guarantee the availability of the products offered on the site, nor does it guarantee shipping times.

Article 4 - Deliveries

Products ordered can only be delivered in Canada or the United States to the address indicated at the time of ordering, once payment has been received. The products of a order are, in principle, deliverable once particular problems (indisponibility of a product par example) or constraint condition (voluminous articles by example).

The user can choose between the following delivery options:

• Delivery to any CARRE BLANC outlet in Canada. For product pick-up, presentation of a valid ID card will be required. Delivery to a Carré Blanc boutique is free of charge and takes place within the same timeframe as home delivery (see below).
• Delivery to the address of your choice in Canada or the United States. Orders are shipped within 3 working days from receipt on the website. The average delivery time observed is 1 to 3 days in Canada (excluding Nunavut, Yukon, NW Territories), 4 to 8 days in remote areas of Canada (Nunavut, Yukon, NW Territories) and 4 to 8 days in the United States.

On average, it takes 8 to 10 working days from receipt of the order for products to be available in the store or at the address indicated. In any case, it can never exceed 30 days from the order date. Delivery to the consumer's address is invoiced at the rate in force on the Site according to the delivery address indicated. At the time of delivery, it is the user's responsibility to check the products delivered (quality, quantity, conformity with the order, etc.). No complaint will be taken into account after the expiry of a period of fourteen days from the day following the date of receipt of the products. A justified complaint made within this period will entitle the user to an exchange or refund of the product, without further compensation.

Article 5 - Prices

The prices of CARRE BLANC products posted online are indicated in Canadian dollars. The price of each product selected by the user is indicated in bold and is payable exclusive of tax. The price shown on the order summary is exclusive of tax and inclusive of all taxes. In the event of modification of the prices indicated on the online store, the products will be invoiced on the basis of the prices in force at the time the order is registered. These prices do not include delivery charges. Sales prices are those currently observed in stores in the country of delivery.

Article 6 - Payment/invoice terms

All products are payable in cash when ordered. By placing an order on the online store, you agree to pay CARRE BLANC the full amount of the order. Payment is made in Canadian dollars only via the PAYMATH secure system.

You can make your payment :
- By credit card; Please note that CARRE BLANC QUEBEC has no knowledge of the credit card numbers provided by the user, but is simply notified by the bank that a transfer corresponding to the amount of the order has been made to its account.

If, for any reason whatsoever (opposition or refusal by the issuing center, for example), it should prove impossible to credit the sums due, the sale will be cancelled outright and delivery will not be made. The invoice for your purchase will be sent to you in the confirmation e-mail acknowledging receipt of your order. It will also be available in your online customer account at any time.

Article 7 - Retention of title / transfer of risk

The transfer of ownership of the products ordered is subject to full payment of their price. The present clause does not prevent the transfer of risks associated with the products to the purchaser upon delivery.

Article 8 - Right of withdrawal / return

Carré Blanc's outlets do not handle returns on the Website. They accept exchanges of products purchased on the website, excluding bedding products (comforters and pillows) and products from the decoration range (excluding textile decoration). Article 9 - Limitation of liability, exclusion of liability, indemnity and waiver

1. Disclaimer, Limitation of Liability, Release of Liability and Assumption of Risk and Indemnity

Your use of the website is at your own risk. The website and the elements it contains are provided "as is", without warranty of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, the website disclaims all warranties and conditions, including, but not limited to, implied warranties and conditions of merchantability and fitness for a particular purpose.

The operation of this website may be affected by numerous factors beyond the control of Carré Blanc. Carré Blanc cannot guarantee the continuous and uninterrupted operation of the website or the absence of security or privacy risks that have not yet been eliminated. Carré Blanc is under no obligation to verify the identity of users of its website. Through the use of the website, you may have the opportunity to enter into business relationships with other persons. These transactions are conducted at your own risk. Carré Blanc takes no part in any such transactions and disclaims all liability with respect to such transactions without limiting the foregoing.

Carré Blanc and its suppliers cannot guarantee that :

• The website will be compatible with your computer or any other equipment or software;
• The website will be available or function without interruption or contain no errors or that errors will be corrected immediately;
• The information available on or through the website will be accurate, complete, sequential or timely; any results whatsoever may be obtained through the use of the website;
• Use of this Web site, including browsing or downloading information, will be free of viruses, worms, or other destructive or disruptive components;
• That the use of this website will not infringe the rights (including intellectual property rights) of any person; and Carré Blanc and its suppliers disclaim all liability for any such infringement, subject to any public legislation to the contrary.

2. Exclusion of liability

Carré Blanc and its suppliers shall have no liability to you or any other person for any loss of information; use; production; profits or revenues (anticipated or otherwise); market; economic, special, indirect or consequential losses; loss of damages or punitive damages, whether in contract, tort or under any other theory of law or equity; arising out of, connected with or relating to the use by you or any other person and regardless of any negligence or other fault of Carré Blanc or any other person for whom Carré Blanc or its suppliers are liable and notwithstanding that Carré Blanc or its suppliers may have been advised of the possibility of such loss or damage incurred by any other person.

3. Limitation of liability

In no event will Carré Blanc's or its suppliers' total liability to you or any other person for all claims, proceedings, debts, liabilities, damages, losses and costs, whether in contract, tort, or under any other theory of law or equity, and regardless of any negligence or other wrongful acts committed by Carré Blanc or any persons for whom Carré Blanc is liable, exceed $25 (CAD) or the amount you paid to Carré Blanc for the use of its website, whichever is less.

4. Liability waiver

You hereby release, for now and forever, Carré Blanc and all of its suppliers, and each of their respective agents, directors, officers, employees, sources of information, sources of services, suppliers, lessors and licensees, and all other persons related, associated or connected in any way with any rights, claims, demands, complaints, pending lawsuits, proceedings, debts, obligations, legal costs, costs and disbursements of any nature whatsoever and arising in any manner whatsoever, known or unknown, existing now or arising in the future, incurred by, related to or connected with the use of the website.

5. Compensation

You agree to indemnify, defend and hold harmless Carré Blanc and all of its suppliers, and their respective agents, directors, officers, employees, information providers, service providers, suppliers, licensors and licensees, and all related, associated and connected persons (collectively, the "Indemnified Parties") from and against any and all liabilities, expenses and costs, including, but not limited to, reasonable attorneys' fees and expenses incurred by the Indemnified Parties in connection with any claims or demands arising out of, related to or connected with your use of the Website or your breach of this Agreement. You will participate and cooperate to the fullest extent possible in the defense of the indemnified parties in any such matters. Any advice or information provided by Carré Blanc or its representatives, whether oral or written, does not represent a warranty or condition or an amendment or change to this agreement including the disclaimer, exclusion and limitation of liability and provision of indemnification and you may not rely on such advice or information. The exclusion of certain warranties or the limitation of certain liabilities is prohibited by certain local laws. These legal limitations may apply to you. The disclaimer, exclusion and limitation of liability, release of liability and provision for indemnification survive indefinitely after termination of this agreement.

Article 10 - Restrictions on personal and non-commercial use of the website

Unless otherwise specified in one or another section of the website, no element of the website (text, graphics, video or audio files, images, icons, software, designs, applications or other elements) may be copied, reproduced, distributed, published, translated, downloaded, displayed or transmitted in any way, without the prior written permission of Carré Blanc or the copyright holder. You may display or download material from the website for non-commercial purposes only, provided you do not modify the material and you retain all proprietary notices contained on the material. All materials on this website are the property of Carré Blanc or its suppliers and are protected by Canadian and international copyright and other laws. The Website may not be used in any manner other than as described and permitted by this Agreement. In particular, except as otherwise described in this Agreement, the Web Site may not be copied, imitated, reproduced, republished, uploaded, posted, transmitted, modified, indexed, catalogued or distributed, in whole or in part, in any way, without the written permission of Carré Blanc. You may not use any of the software used in the operation of the website except when you are using the website. You may not reproduce, copy, duplicate, sell or resell any portion of the Website (including the software used in the operation of the Website) or access to the Website. The Website is available for your lawful, personal use only. You may access and browse our website using Internet software that supports SSL technology. You may print or download pages from our web site for your personal use only if you do not modify any of the pages of the web site and you do not remove or modify any of the identifications, visible or not, nor any of the warnings or disclaimers.

Article 12 - Intellectual property

The elements of the Site, whether visual or audio, including the underlying technology, are protected by copyright, trademarks or patents.

Carré Blanc, the Carré Blanc logo or any other trademarks and logos used on the website are registered or unregistered trademarks of Carré Blanc or third parties. Nothing contained on the website should be construed as granting, directly or indirectly, any license or right to use any trademark displayed on the website without the prior written permission of the owner of such trademark.

In this respect, any reproduction or use, in whole or in part, of any kind and on any medium whatsoever, in France or abroad, of elements of the CARRE BLANC Site is strictly prohibited (except, however, when such reproduction or use is made for the user's personal use, for non-commercial purposes only, without the user being able to modify the content and provided that he or she retains the copyright notices).

Any link to the Site must be removed at the request of CARRE BLANC .

Article 13 - Applicable law/language/jurisdiction

This website is operated from Carre Blanc's offices in Montreal, Quebec. This agreement, your use of the web site, and all related matters are governed by the laws of the province of Quebec and the federal laws of Canada applicable therein, excluding the application of any international laws or conflict of laws principles that would cause the application of any other law.

Any dispute between you and Carre Blanc arising out of or relating to this web site, this agreement, or any related matters must be resolved before the Courts of Quebec and you irrevocably submit to the jurisdiction of such courts. Any legal action arising out of, related to or connected with your use of the Web Site, this Agreement or otherwise, must be heard in a court of competent jurisdiction in the Province of Quebec, Canada, within six (6) months of the original complaint. After that time, the claim or action is forever barred, regardless of what the law says.

Article 14 - Other items

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the rest of this agreement and shall not affect the validity and enforceability of any remaining provisions. The provisions of this Agreement shall inure to the benefit of and be binding upon Carré Blanc, its suppliers, and each of its successors and assigns, and you and your heirs, executors, administrators, successors, and personal representatives. You may not assign this Agreement, or your rights and obligations under this Agreement, without Carré Blanc's prior written consent, which may not be granted in Carré Blanc's sole discretion.

Carré Blanc may assign this Agreement, and its rights and obligations under this Agreement, without your consent. No waiver, expressed or implied, by either party or any breach of this agreement shall constitute a continuing waiver or breach or shall be deemed a waiver of any preceding or subsequent breaches. You and Carré Blanc are independent contracting parties and no agency, partnership, employment or franchise relationship is intended or created by this Agreement or your use of the Website. Any rights not expressly granted by this Agreement are reserved to Carré Blanc. This agreement is subject to change.
